Workers Compensation Law has a similar rule that states that once an impairment rating is issued, an attorney can only charge a fee based on the difference between the impairment rating and the ultimate settlement. There is no such rule in general PI law. Often, if you have received an offer, and attorney will agree to charge only a percentage o the difference, but it is not required.

Yes, they can be. However, this type of liability is rare. For one thing, directors of entities have immunity from liability based on their actions as directors that are exercised within their scope of power and responsibility, unless there is fraud, bad faith, or self dealing. For example, a director could not be sued for voting to place corporate money in an investment that loses money. However, a director might be sued for voting to invest money in the directors own business if it loses money. This is self dealing. Another reason that a suit against directors of a 503c entity would be rare as there are no stockholders expecting a profit to sue for bad decisions (which again are immune except in limited circumstances). However, if a director steals corporate money by forcing employees to pay bribes to directors, a Director could be sued. If you have been asked to serve as a director, and you are thinking of saying no based on a concern for personal liability, I would suggest that there is virtually no activity in life that you can engage in that cannot possibly result in liability. You expose yourself to a lawsuit (although the probability is remote) every time you invite guests into your home, walk down a street, Write a song, send a letter to the editor of a paper, engage in any form of business, etc. If you drive a car and have less than 1.5 million in insurance coverage, I think you should be more concerned for your liability for this activity than liability for serving as director of a 503c entity.

Most automobile insurance policies provide coverage to a maximum limit per person and per accident. In a policy with $25,000 per person limits up to a maximum limit of $50,000 per accident, the insurance company would pay on injured person up to the $25,000 limit. If there were say 5 injured people, the $50,000 limit would be divided up among the injured persons according to the severity of their injury, but no on person would get more than $25,000. This is usually the case when one injured party is severely injured and the others a much less injured in an accident.
