Ms. Blair's law practice at Intellectual Property Law Group LLP is focused mainly on business transactions and real estate transactions. She has formed numerous limited liability companies, limited partnerships, corporations, and non-profits in California, Delaware, and other states. Her business transactional experience covers a wide breadth of matters, including the addition and withdrawal of members to partnerships, transferring interests under Buy-Sell Agreements, the purchase and sale of businesses, securities filings, leasing equipment, UCC Financing Statements, and managing the admission of investors to venture capital funds. She is highly skilled in drafting and reviewing complex contractual agreements, such as indemnification agreements, employment agreements, independent contractor agreements, and settlement agreements. In particular, Ms. Blair has drafted many executive compensation agreements using her knowledge of Internal Revenue Code Section 409A, a complicated statute which relates to deferred compensation.
Ms. Blair also has a great deal of real estate transactional experience; she has drafted numerous commercial and residential leases, purchase and sale agreements, easements, declarations of covenants, conditions and restrictions, deeds, deeds of trust, and secured promissory notes. She has experience with the subdivision map act, code enforcement, Administrative Certificates of Compliance, and real estate disclosures required at time of sale. Ms. Blair also has extensive knowledge of real property reassessment under Proposition 13. In one transaction she was able to help a client avoid a $6 Million dollar reassessment on a large parcel of mixed-use property.
