Joanne Chua serves as an adviser to startup companies across all growth stages, from formation to pre-seed through late-stage funding, secondary sales, and tender offers. She provides strategic counsel to both entrepreneurs and investors, including angel investors, venture capital firms and corporate venture arms, to identify, evaluate, and advance innovative business opportunities. For companies, Joanne’s practice includes day-to-day counseling and corporate governance matters, including board and shareholder governance, cap table management, equity compensation matters, employment matters, lifecycle management, and regulatory compliance. In corporate transactions, Joanne handles general corporate and technology and IP due diligence.
Joanne also drafts and negotiates intellectual property and technology-driven transactions, including commercial agreements, technology licenses, influencer agreements, service agreements, and collaboration and sublicense arrangements. She advises clients on both inbound and outbound procurement matters across a broad range of categories, including cloud services and infrastructure, enterprise and commercial software, professional and managed services, and hardware. On the inbound side, Joanne counsels companies on vendor selection, contracting strategy, and risk allocation as they build and scale their technology stacks. On the outbound side, she helps clients structure and negotiate the agreements through which they bring their own products and services to market, including through reseller, distribution, and channel arrangements. Her client work spans a variety of industries, including artificial intelligence, robotics, cybersecurity and financial services and technology.
