  Transactions

  Private Equity Investment:
  •Represented group of investors in commercial urban real estate development involving HUD financing, an historic tax credit investor and multiple issues bringing the development to closing.

  Commercial Workout/Turnarounds:
  •Facilitated a limited partnership in negotiating a workout on a commercial foreclosure. Successfully placed client with financing and negotiated a six-figure reduction in balance paid to foreclosing lender, resulting in a property that is now cash-flowing positive for first time.
  •Provided consulting and management services to client with under-performing hotel. Advised on recasting business model, implemented standards for performance and accountability and positively impacted the revenue stream of the hotel.

  Real Estate Transactions:
  •Assisted client with acquisition of commercial office building from the point of formation of the business entity, negotiation and successful closing of the purchase, management of construction escrow and preparation of tenant leases.
  •Acted as settlement agent in hundreds of residential and commercial closings.

  Business Sales and Acquisitions:
  •Counseled clients through the sale of a crane business and associated real estate that included various post-closing executory contracts.
  •Assisted several clients with purchases of bar/restaurants;
  •Advised clients in several transactions involving the purchase or sale of national franchises including but not limited to Subway, Snap-On, Snap Fitness, Contours Express, Curves, Pizza Outlet and UPS Stores.
  •Negotiated buy-out of partners in a commercial trucking and warehouse business; assisted same client with subsequent sale of the business.

  Shareholder Disputes:
  •Negotiated to successful resolution several shareholder disputes involving construction companies, real estate developer, chiropractic practice, restaurant and medical imaging business.
