    Advising clients with respect to Section 409A compliance for arrangements that provide for a deferral of compensation,
    amending plan documents
    agreements to satisfy the requirements of Section 409A.
    Advising investment funds with respect to ERISA compliance matters, including the requirements for qualifying as a venture capital operating company or a real estate operating company, or for other exceptions under the plan asset rules.
    Providing advice
    services with respect to qualified pension, profit sharing
    401(k) plans (including techniques to satisfy non-discrimination requirements
    maximize contributions for highly compensated executives), ESOP transactions, health
    welfare plans, cafeteria plans
    other employee benefit programs.
    Providing advice
    services to plan fiduciaries with respect to their duties
    responsibilities under ERISA, including compliance with Section 404(c) of ERISA
    other methods of minimizing risk,
    compliance with reporting
    disclosure requirements.
    Advising with respect to various executive compensation
    employee benefit plan issues in connection with corporate mergers
    acquisitions, including due diligence services, analyzing
    helping to minimize tax costs associated with excess parachute payments,
    integrating the buyers
    sellers benefit programs post-closing.
    Representing governmental entities
    other tax-exempt organizations with respect to their employee benefit programs, including qualified plans,
    Section 403(b)
    457 plans,
    helping solve the unique problems faced by these organizations in providing deferred compensation for their executives.
