Krisanne S. Cunningham

Krisanne draws on her broad-based transactional experience and business and tax background to deliver practical legal advice, with a view to the client's business objectives. Her clients include start-up and growing businesses and non-profit organizations, as well as large corporations. Krisanne is a business attorney, whose experience covers business formations and transactions, general corporate, mergers and acquisitions, securities law, tax planning, corporate governance, real property and commercial finance transactions, intellectual property, non-profit organizations and employment law. Krisanne assists companies with formation, capital raising initiatives and initial business/tax structuring. She drafts governing documents such as corporate bylaws, LLC operating agreements and JV agreements, and helps companies issue founders' equity and implement equity incentive plans. She negotiates and drafts a wide range of business and commercial contracts, including those with employees, ICs, vendors, management companies, distributors, landlords and talent. Krisanne provides legal advice for company websites, including privacy policies, terms of use, IP licensing and e-commerce operations. Krisanne also advises on corporate governance and management. She provides advice on whether an investment or offering is a “security” under federal securities laws, as well as whether the investment or offering qualifies for an exemption from registration under securities laws. Krisanne drafts federal Reg D filings, state filings and drafts Private Placement Memoranda (PPMs) and provides accredited investor advice and broker-dealer registration services, and drafts, negotiates and reviews agreements related to seed, angel and venture capital investments and offerings, including term sheets, investor rights agreements and investor questionnaires. 

For M&A transactions, Krisanne prepares, negotiates and manages all deal documentation for a wide range of transactions, including asset and stock purchases, tax-free reorganizations and merger/reverse merger transactions, small transactions to transactions worth hundreds of millions of dollars.
