Jason Kislin focuses his practice on complex commercial litigation on behalf of clients in a broad array of industries.     other claims asserted against it after restructuring. The claims were dismissed on summary judgment.

    other claims asserted against him in his capacity as manager of a crypto-hedge fund. The 10b-5 claims were dismissed at the pleading stage.

    Shareholder Litigation: Represented the sellers of a technology business in the energy sector in connection with their claims seeking release of a significant escrow fund in the face of claims by the buyer alleging breaches of representations
    warranties. After a two-week arbitration hearing, the panel awarded the sellers the full amount of the escrow plus attorneys fees
    costs.
    Represented the sellers of a consumer product business in connection with claims of breaches of representations
    warranties. After a week of a bench trial, the matter settled.
    Represented the sellers of a consumer product business in connection with claims of fraud
    breaches of representations
    warranties. The matter settled.
    Represented minority members
    managers of an LLC in connection with efforts by the majority to force a change of control
    ownership. After obtaining a preliminary injunction, the matter settled.

    Complex Commercial Litigation: Representing generic pharmaceutical manufacturer in antitrust MDL.
    Defended an alternative energy company in connection with RICO
    state law claims asserted in connection with a joint-venture project. Obtained the dismissal of the RICO
    certain related state law claims.
    Representing a software consulting business in connection with contract claims.
    Representing the purchaser of PPP in connection with fraud
    breach of contract claims against the seller.

    Governmental Investigations: Represented a company, based in the Commonwealth of Independent States, in connection with FCPA investigation regarding the CEO of the company.

    civil DOJ antitrust investigations.
