If the principle has passed away, your power of attorney is no longer in force. In order to deal with the decedent's bank accounts, you need to be appointed personal representative (executor is the old term) and present the bank with a death certificate and your Letters Testamentary (issued by the court).

The probate process takes place in the state where the decedent was a resident. Where he died does not really matter. If his wife is still living, probate will probably not be necessary, as long as his wife has access to their assets.

Heirs are not responsible for paying a decedent's debts. Hopefully the life insurance is payable to one of you, not to his estate. In the latter case, the $ coming into his estate would be available to pay creditors before it got to you guys.
