About Thomas D. Livingston

Tom regularly counsels clients in mergers, acquisitions, dispositions and complex joint ventures to private equity funds, strategic acquirors, and private sellers operating in several industries, including health care, consumer products, telecommunications, business services, technology and leisure and hospitality. He is also experienced in representing companies and investors in preferred equity, convertible debt, and private placement transactions, as well as lenders and borrowers in leveraged buyout, senior secured debt facilities, and mezzanine debt transactions.

In particular, Tom has experience in structuring health care transactions to comply with complex state and federal legal and regulatory frameworks, including corporate practice of medicine, anti-kickback and self-referral, and other fraud and abuse laws.
