Hannah Caplan is a trusted advisor on all matters that impact employees, with an emphasis on employment law compliance and counseling. Her practice focuses on providing prompt and practical advice to employers navigating sensitive legal issues with employees, leading employment support on corporate transactions, and drafting agreements and policies for employees.

Hannah draws on over ten years of litigation and courtroom experience to ensure her clients are well-informed of the risks and benefits associated with each potential path. She understands how certain factual scenarios are likely to play out in court, and the legal relevance of each detail. When leading employment due diligence on a deal, she goes the extra mile to learn the business priorities and goals before diving in. She rounds out her practice with a variety of drafting and related counseling services, including negotiating and drafting critical separation agreements for executives; developing and executing on the strategy for reductions-in-force; drafting, challenging, and enforcing restrictive covenant agreements; and reviewing and advising on employee handbooks and multi-state legal compliance schemes. Hannah’s litigation practice and experience includes defense against discrimination, harassment and retaliation claims, as well as wage payment lawsuits, including collective actions under FLSA. She has also both brought and defended actions involving the protection of trade secrets and violation of restrictive covenants.

    Secured an early dismissal of individual defendant Chad Keck for lack of personal jurisdiction in multidefendant complex litigation matter regarding United States rugby leagues in Boulder County District Court (Case No. 18CV30533).
    Obtained a voluntary early dismissal of discrimination claims brought by former employee in favor of an employer prior to the responsive pleading deadline
    any discovery following due diligence regarding former employee.
    Represented one of the largest health insurance companies in the country in a lawsuit alleging violations of the Sherman Act
    Colorado Antitrust Act. Asserted counterclaims under the Sherman Act, Colorado Antitrust Act, Colorado Consumer Protection Act,
    ERISA, in addition to various tort claims. The case was ultimately settled.
    Contract Negotiation: Negotiated
    documented terms of departure of executive
    business cofounder on behalf of a business, including continuing duties to the business.
    Negotiated an executive employment agreement with complex bonus
    incentive provisions,
    heavily-negotiated restrictive covenants.
    Negotiated an amendment to an executive employment agreement to enable the business to continue its relationship with a valuable executive while reasonably protecting the interests of the business in regard to incentive compensation, restrictive covenants,
    reasonable limitations on severance obligations.
