Representative Cases & TransactionsTransactionsServe as Outside Counsel of many U.S. publicly traded companies and Fortune 500 companies in the Energy, Banking, Healthcare, Media & Entertainment and Tobacco Industry.; Represented Medtronic, Inc. in Minnesota. Assisted in the Stock Purchase Agreement of Physio-Control, Inc. to Bain Capital, advised Medtronic on the Executive Compensation and Asset Transfer in cooperation with Skadden, Arps, Slate, Meagher & Flom LLP. The transaction involved asset transfers in more than 30 separate countries and numerous interdisciplinary complexities. The deal value was at 487 Million US Dollars.; Represented Investment Bank for CDS Backed Facility by UBS Investment Bank for Development of Energy Projects in Iraq, proposing a $5bn facility which can be drawn in tranches of $500 Million US Dollars. This structure allow borrower to access cost-effective liquidity when compared to conventional sources in a private bilateral transaction that does not tap their Eurobond or syndicate loan borrowing capacity.; Advised and represented U.S. Companies for EPC Contract with the Ministry of Energy, for Energy Project transaction was at the amount of 1.2 Billion U.S. Dollars.; Represented EADS n sale agreement of 24 EADS Eurocopter EC 635 light twin-engine helicopters for Iraq Ministry of Defense at the amount of EUR 360 million.; Represents Client in Term Sheet of Senior Secured Loan Facility by Investment Bank at (900) Million US Dollars and advised Client in the Structured Finance consisting of creating debt securities backed by pools of receivables to support securitization financing.; Aref El-Aref has been a partner with El-Aref International Law Office since 2003, and has been working in the Middle East and North Africa Region since. In the area of Energy and Project Finance, he regularly advises clients on the formation, financing, governance and operation of companies, joint ventures and distribution arrangements in Kuwait, Lebanon, Saudi Arabia, Iraq, UAE, United States of America, and North Africa region. He has represented clients in project finance and Energy transactions, with work includes teaming agreements for joint bids, and EPC and separate contracts for the design, construction and supply for the project, as well as utility contracts.
