He has over 35 years of experience in dealing with mergers, acquisitions, and sales; business formations; management and succession issues (for both for profit and non-profit entities); and corporate governance and executive compensation issues (for both private and public companies). He acts as outside general counsel for numerous companies, attending board meetings and advising Board members and executive management teams on a variety of management issues and strategies. Mr. Thomas has guided and advised several small entrepreneurial enterprises through the process of becoming regional and national leaders among their peers and in the handling of a variety of unique workforce issues and strategies associated therewith. Some representations reflecting the scope and range of Mr. Thomas' transactional acumen and representations includes: leading a team of attorneys in assisting a large media group in successfully consolidating ownership, implementing a national acquisition strategy, coordinating the handling of both union and non-union workforces issues endemic to such acquisitions, initiating an IPO, and structuring favorable public and private financing arrangements; assisting a large regional automotive group in successfully consolidating ownership, hiring new management, and in the implementation of a strategy of regional geographical consolidation; preparing and implementing a governance policy for a large international medical research company; created new governance documents and procedures for several private educational institutions and assisting them in their preparation for re-accreditation, management overhaul, and board restructure; successfully leading a team of attorneys in the successful defense of politically motivated litigation against the management of a public company; successfully negotiating a joint venture agreement (including a division of workforces and assignment of responsibilities) in the People's Republic of China (the "PRC") between competing PRC and U.S. broadcast equipment manufacturers and assisting in the preparation of a joint bid through the World Bank for the delivery and placement of broadcast transmission products in the P.R.C.; traveling to West Africa on behalf of a large U.S. manufacturer and successfully negotiated an agreement for the importation, distribution, and installation of broadcast transmission equipment in West Africa; assisting in the transition of ownership and management for a large private U.S. equity fund; and has and continues to offer representation several physician and dental practice groups in numerous governance and employment related matters (including the termination and hiring of both professional and non-professions staff and equity owners), as well as in matters involving insurance coverage issues and in the negotiation of contracts with hospitals, landlords, equipment manufacturers, and lenders.
