Francesca's experience in the field of structured finance is broad. It spans both the North American and European markets, as she has also practiced in Europe at one of the world's leading law firms with a securitization group ranked at the forefront of international securitization markets. Her practice encompasses such diverse matters as interest rate, FX, credit and equity derivatives, monetizations, covered bonds, securities lending, debt trading, CDOs and synthetic and asset-backed securitizations. Francesca has represented, and continues to represent, numerous categories of participants in the structured finance & derivatives field, including originators, issuers, sponsors or arrangers, administrators or managers, counterparties, regulators and investors. Of particular note:

•She led the Goodmans' team representing and advising the Pan-Canadian Third Party Asset-Backed Commercial Paper Investors Committee in the successful restructuring of the C$32 billion non-bank sponsored asset-backed commercial paper market in Canada, and subsequently advised the administrator of the special purpose vehicles resulting from the ABCP restructuring in all matters related to the credit default swaps and related derivative transactions to which those vehicles remained parties, the securitization programs and other investments and assets of those vehicles.

•In 2012, Francesca advised CMHC in its new role as the administrator of the Canadian registered covered bond programs legal framework established on June 29, 2012 by The Jobs, Growth and Long-term Prosperity Act (Canada), assisting CMHC in the drafting of the Canadian Registered Covered Bond Programs Guide (first published on December 17, 2012 and which sets forth all requirements, qualifications and restrictions applicable to registered covered bond issuers and their programs). She continues to advise CMHC on policy and strategic questions arising in the context of the administration and regulation of Canada's registered covered bond programs legal framework.

In the field of corporate finance, Francesca represents market participants, issuers and investors in public financings and private investments of debt and equity. She has, by way of example, represented a number of US and offshore funds and institutional investors in over 70 PIPE transactions of over $800 million in aggregate value. Francesca's M&A practice has focused primarily on high profile, domestic and international mergers and acquisitions.

Francesca provides advice, on an ongoing basis, to her private and public company clients (primarily in the financial services sector) on matters of securities and corporate law compliance, governance, regulatory compliance and investor relations. Francesca's clients consistently rely on her insightful and practical business advice as well as her legal expertise when considering and implementing key strategic initiatives, including accessing public markets through a listing or initial public offering, converting to alternative structures for tax and other motivations, entering a new market or effecting a significant acquisition, divestiture or merger. Her practice has afforded Francesca significant exposure to the financial services industry as well as to the telecom, mining, automotive, tech, food & beverage and retail industry sectors.

Francesca completed her LL.B. at Osgoode Hall Law School in 1987. She joined Goodmans in 1992 and became a partner in 1996. She is active in various community and charitable organizations, and sits on a number of boards.
