    • We have helped clients purchase large shopping centers. We represented the purchasers throughout the transaction. By negotiating the purchase contracts and mortgage documents, we helped our clients save hundreds of thousands of dollars. We also carefully analyzed the leases and the title reports on the properties, and found numerous issues that we required the sellers to cure.
    • We helped a client form a small corporation that over the years had grown into a large, desirable distributor of electronic merchandise. When a publicly held corporation expressed their desire to acquire our client, we represented our client throughout the negotiation and acquisition. With our legal assistance, our client merged with the acquiring company. The resulting corporation is a Wall Street success story.
    • A seller of commercial property had a dilemma: having held the property for a number of years, the property had appreciated greatly in value. At the same time, the improvements on the property were depreciated for tax purposes. The result of the sale would have been that the lion's share of the profits of the sale would be paid in capital gains taxes and other taxes. We developed a solution to this problem by structuring a three party tax deferred exchange. Our client paid no taxes on the sale, and has acquired valuable real estate that is providing both a steady source of income, as well as capital appreciation.
    • Two shareholders in a closely held corporation could not get along. One shareholder wanted out, but wanted an excess amount of money for his shares. With aggressive litigation skills, our client acquired the dissenting shareholder's interest for pennies on a dollar.
    • A client was faced with a foreclosure of a 5 million dollar mortgage on a property which was valued at only 2 million dollars. Additionally, our client personally guaranteed the mortgage. He did not want to file bankruptcy. We were able to defend the foreclosure action and negotiate a settlement where our client was able to keep his property and his good credit.
    • As a result of a burglary, a client lost one million dollars worth of merchandise. The client's insurance carrier refused to pay the claim. Facing losing their entire business, our client turned to us. We successfully forced the insurance company to pay the claim in full.
    • A client had a great idea for a business, but she had no idea how to form the business, get the business going, and keep it running successfully. With our extensive experience in business formations and day-to-day running of various types of businesses, we guided her so that she has a successful operation today.
    • A business client was faced with a federal subpoena, and the FBI knocking on their door. They knew they did nothing illegal, but they faced accusations and incriminating evidence. Representing them in this matter cleared their good name, and allowed them to continue their day-to-day business activities.
    • Numerous not-for-profit entities have asked us to help with their particular legal needs. With our extensive experience and knowledge, we have helped them legally obtain their goals.
