The focus of my practice is on business organizations, business relationships, and business and real estate transactions. I limit my practice to those areas where I have a good deal of expertise.
Business Organizations. This area encompasses choice of entity (LLC vs. partnership vs. corporation, S corporation vs. C corporation, and the like), formation, maintenance, and dissolution of corporations, LLC's, and partnerships, bringing in an employee as a co-owner, drafting buy-sell agreements among co-owners, and transfers of ownership interests among co-owners.
Business Transactions. This area encompasses purchase and sale of businesses, mergers and acquistions, transfer of partial ownership of a business, commercial loan transactions (typically representing a business borrower), and secured personal property financing.
Real Estate Transactions. This area encompasses purchase and sale of land and buildings (typically commercial, not residential), leases, and secured real property financing.
Business Litigation Consulting. I normally handle no litigation myself, but I serve as a consultant and advisor to litigators on the business law issues in business lawsuits.
In addition to those fairly well-defined areas, a substantial part of my practice consists of advising clients on, and negotiating and drafting, contracts of various kinds. These include not only contracts in the areas mentioned above, but also employment and consulting agreements, sales rep and distributorship agreements, and service agreements of various kinds.
