Laurence R. Arnold is a partner with Foley & Lardner LLP. A member of the firm's Labor & Employment Practice, he focuses his practice in the area of labor relations, including the representation of employers in union organizing drives and election proceedings, unfair labor practice proceedings, collective bargaining negotiations, contract administration and arbitrations, and strike preparation and management. He has advised many clients on both the strategic and the practical employment and labor relations implications of mergers, acquisitions and divestitures.
Mr. Arnold also has extensive experience counseling and representing employers in wage and hour matters, discrimination claims (in state and federal administrative and judicial proceedings), compliance with applicable laws and regulations, the development and application of personnel policies and procedures, disciplinary issues and work force reductions. He has conducted numerous seminars for clients and industry groups on these and other related topics.
Mr. Arnold has worked for clients of varying sizes and in such industries as retail, construction, manufacturing, health care, transportation, print media, and the service industry.

Ms. Barnes is experienced in all aspects of complex litigation. She has an extensive law and motion background and experience in coordination of strategic planning and discovery in complex disputes. She has litigated cases involving breach of contract, fraud, bad faith, breach of fiduciary duty, shareholder derivative, construction defect and unfair trade practices issues.
Ms. Barnes represents stockbrokers and brokerage firms in NASD arbitrations and state court proceedings. She has also represented accountants, financial institutions, insurance companies, multinational corporations, medical device manufacturers, biotech and communications companies, and hospitals and medical groups.
Prior to law school, Ms. Barnes was a stock options market maker on the Chicago Board Options Exchange.
She received a J.D. from Northwestern University Law School in 1991 and a B.A. in English and American Literature from Brown University in 1984.

Teveia Barnes is a partner with Foley & Lardner LLP and a member of the Finance & Financial Institutions and Bankruptcy & Business Reorganization Practices. She has over 30 years of experience representing banks and other financial institutions in sophisticated transactions, including secured and unsecured commercial loans, asset-based financings, loan syndications, subordinated debt transactions, swap and derivative transactions, letters of credit, loan workouts, debtor-in-possession financings, mortgage backed securities swaps and mortgage loan pool sales and servicing. Ms. Barnes also has extensive experience representing for profit and not-for-profit companies in connection with corporate governance and a broad range of commercial and other business transactions.
Prior to joining Foley, Ms. Barnes served as the associate general counsel and senior vice president of Bank of America, where she was a senior manager and member of the policy committee for the Legal Department. While at Bank of America, Ms. Barnes managed lawyers and advised 15 units of Bank of America, including capital markets, commercial and private banking, investment management, commercial and corporate real estate, corporate trust and international banking. She also helped launch the bank's diversity initiative that resulted in the bank receiving awards and recognition for creating an environment where all employees could do their best work.
Ms. Barnes also serves as president and executive director of Lawyers For One America (LFOA), a national nonprofit organization responsible for a pro bono law office serving the working poor and providing legal assistance to micro-entrepreneurs and community based nonprofits. She leads LFOA's Diversity Center, which seeks to increase diversity at all levels and within all sectors of the legal profession.
Ms. Barnes has also served as executive director and general counsel of the Bar Association of San Francisco.
Ms. Barnes is a member of the US Bank Advisory Board for Northern California. She also serves on the Rice University board of trustees and is the chairman of the Audit Committee and a member of the Finance and Trustees Committees. She is the chairman of the board of On Lok, Inc., a nonprofit HMO dedicated to all-inclusive care for the elderly. She was appointed to the Supreme Court of California Multi-jurisdictional Practice Committee by Chief Justice Ronald George from 2002 to 2004.

Mr. Carlucci represents corporations, organizations and individuals in white-collar matters with emphasis on healthcare and tax fraud. Mr. Carlucci also focuses on civil state and federal tax litigation.
Prior to joining the firm, Mr. Carlucci practiced as a federal prosecutor for more than 10 years, serving as an assistant U.S. attorney in San Francisco, California and prior to that served as a trial attorney, with the U.S. Department of Justice Tax Division in their Honors' Program. Mr. Carlucci has served as trial counsel for more than 50 civil and criminal cases. He also served as a trial instructor for the Department of Justice.
Mr. Carlucci was a recipient of the attorney general's prestigious John Marshall Award for Litigation, for successfully prosecuting one of the most significant tax evasion cases in the department's history. Michael Delehunt is chair of the litigation practice in Northern California and is located in Foley's San Francisco office.
Mr. Delehunt's practice focuses on class action litigation involving clients in the personal fitness and retail sectors, health care industry, and real estate development and management fields. His practice includes defense of consumer litigation and litigation of unfair competition, contract and business tort actions and actions under the Americans with Disabilities Act and California's Proposition 65. Mr. Delehunt also counsels clients regarding consumer privacy issues, including the Song-Beverly Credit Card Act and consumer protection statutes. Mr. Delehunt represents real property owners and developers in land use litigation and entitlement matters.
With substantial trial and litigation experience in state and federal courts, Mr. Delehunt has handled significant cases brought under California Business & Professions Code §17200, the California Consumer Legal Remedies Act, the California Health Studio Services Act, and other consumer and trade regulation statues. He also is involved in substantial cases involving the real estate industry and real property development. Mr. Delehunt was named a 2005 "Super Lawyer" by the publishers of San Francisco Magazine.
A native San Franciscan, Mr. Delehunt earned his B.A. in 1970 from St. Mary's College of California. He graduated from the University of California Hastings College of Law (J.D. 1976) after active duty in the United States Army and participation in reserve training.

Ms. Lach focuses her practice on representing borrowers, issuers, investment banks and financial institutions in both taxable and tax-exempt securities transactions nationwide. Ms. Lach has participated as borrower's counsel or underwriter's counsel on over 70 healthcare securities transactions totaling more than $3.8 billion. As a result, Ms. Lach has experience with virtually all types of financing vehicles, including derivative transactions, securitizations and privatizations.

Mr. McClune has extensive experience representing employers and systems in NLRB and other union-related matters, including union negotiations, arbitrations and grievances; general advice on union contracts; strike avoidance and preparation procedures; and injunctions to restrict striking and picketing activities. In addition, Mr. McClune has handled numerous wage and hour matters, both state and federal. Ms. Ridley is a graduate of Santa Clara University Law School and is a former Emery Law Scholar. Ms. Ridley earned her B.A. degree from the University of Notre Dame. She is admitted to all federal, state and appellate courts in California and Hawaii, the 7th Circuit Court of Appeals, the United States District Court - Southern District of Texas, the District of Columbia and the U.S. Supreme Court.
In 2005, Ms. Ridley was named as one of the "Bay Area's Best Lawyers in Appellate Practice" by Bay Area Lawyer Magazine. In 2008 and 2009, she was selected for inclusion in the Northern California Super Lawyers® lists for business litigation.

Mark T. Schieble is a partner at Foley & Lardner LLP. He is a member of the firm's Tax and Public Finance Practice Groups and its Health Care Industry Team. His practice encompasses both nonprofit and for-profit tax law. Representative matters include qualification and ongoing activities of tax-exempt organizations, tax-exempt finance, joint ventures, business reorganizations, employee benefit and deferred compensation arrangements, and real estate transactions.

Paul A. Stewart is managing partner of the Silicon Valley office at Foley & Lardner LLP. Judith A. Waltz is a partner with Foley & Lardner LLP. She is co-chair of the Life Sciences Industry Team, and former vice chair of the Health Care Industry Team. She is also a member of the White Collar Defense and Corporate Compliance & Enforcement Practices, Life Sciences Industry Team and former co-chair of the Health Care Payments/Compliance Practice.
Ms. Waltz regularly advises clients who are the focus of government investigations and other enforcement actions, and has negotiated false claims act settlements with the U.S. Department of Justice as well as corporate integrity agreements (CIAs) with the Office of Inspector General. She then has worked closely with those clients to implement their CIAs, including ongoing advice in connection with IRO audits and reviews. At the state level, she has been involved with various Medi-Cal audits and investigations, including one large matter involving allegations of inflated drug pricing by a major pharmaceutical company. In 2004, she represented Gambro Healthcare, Inc., an entity with more than 500 sites in CIA negotiations with the OIG, and subsequently was featured in the September 2005 cover story of Counsel to Counsel magazine for this work.
She also provides ongoing compliance counseling and Medicare payment advice to clients which include county health systems, hospitals, durable medical equipment suppliers, clinical laboratories, dialysis companies, skilled nursing facilities, ambulance companies, pharmacies, teaching hospitals, managed care providers, and a variety of other health care entities. More recently, she has provided compliance counsel to a new (start up) pharmaceutical manufacturer on issues of off-label promotion, pricing, and other marketing practices.
Prior to joining the firm in 1998, Ms. Waltz served as assistant regional counsel for the U.S. Department of Health and Human Services in San Francisco, primarily handling Medicare issues including enforcement actions. In that position, she appeared frequently before the Ninth Circuit and other federal courts in matters primarily involving payment disputes (including PRRB appeals) and bankruptcy issues, and Medicare Secondary Payer disputes. She held collateral appointments as a special assistant United States attorney for the Eastern and Northern districts of California.
Ms. Waltz is a frequent speaker and writer on health care compliance issues, including payment suspensions, health care bankruptcies, and potential issues of personal liability for owners of entities who are the focus of government scrutiny. She has been an instructor at the HCCA Compliance Academy, and has been a regular contributor to Drug Benefits Trends Magazine, with several articles on topics of drug pricing. She has been named to the 2007 list of Outstanding Healthcare Fraud and Compliance Lawyers published by Nightingale's Healthcare News. She was also ranked as one of the top health care attorneys in the nation in 2009 by Chambers USA.
Ms. Waltz is admitted to practice before the Ninth Circuit and all Federal District Courts for California. She received her B.A., J.D. and M.P.A. degrees from Indiana University, where she was an associate instructor in the School of Business. Ms. Waltz was admitted to the California Bar in 1982.

Kevin F. Woodall is a partner with Foley & Lardner LLP and a member of the firm's Labor & Employment and General Commercial Litigation Practices. Mr. Woodall's practice focuses on wage and hour, wrongful termination, protected leaves of absence, discrimination, retaliation, unfair competition, workplace violence and safety issues.
